These Terms and Conditions (the “Terms”) govern the BNESIM Affiliate Rewards programme (the “Programme”), a coupon-based promotional scheme operated by BNESIM for direct affiliates.

The Programme is automated. Eligibility, Tier and Coupon Code entitlement are determined by BNESIM’s systems on the schedule described below, without application or individual negotiation.

Eligibility alone does not constitute acceptance. An Affiliate accepts these Terms when, after receiving notice of them, it first uses or distributes a Coupon Code or otherwise participates in the Programme.

The Coupon Code is the sole reward

The Programme pays no additional commission, revenue share or bonus. Sales generated through a Coupon Code remain commissionable under the Affiliate Agreement.

01Parties, scope and definitions

1.1

The Programme is operated by BNESIM Limited, a company incorporated in Hong Kong, with its registered office at Unit C, 8/F, King Palace Plaza, No. 55 King Yip Street, Kwun Tong, Kowloon, Hong Kong (“BNESIM”, “we”, “us”).

1.2

The Programme is offered exclusively to direct BNESIM affiliates. It is not offered to white-label partners, distributors, API partners, resellers, agencies or sub-affiliates operating beneath those channels.

1.3

Each Affiliate’s existing agreement with BNESIM governing its affiliate relationship (the “Affiliate Agreement”) remains in force. These Terms govern only the Programme. The Affiliate Agreement governs commission, marketing conduct, intellectual property, confidentiality, liability, termination and all other matters not expressly regulated here. If there is a conflict, the Affiliate Agreement prevails, except that these Terms prevail solely for the calculation and operation of Tiers and Coupon Codes.

1.4

The following definitions apply:

TermMeaning
AffiliateA direct BNESIM affiliate account meeting clause 2.
Affiliate AgreementThe existing agreement governing the Affiliate’s relationship with BNESIM.
AttributionThe linking of a customer account to an Affiliate in BNESIM’s systems, arising at sign-up or from redemption of that Affiliate’s Coupon Code.
Coupon CodeThe unique percentage-discount code issued under clause 6.
CustomerA distinct attributed customer account that placed at least one Order in the relevant period.
Grace MonthThe single month described in clause 5 during which a Tier is retained despite a shortfall.
OrderA successfully paid eSIM purchase or paid top-up attributed to the Affiliate, subject to clause 8.
Qualifying MonthThe calendar month most recently closed, used to determine entitlement for the following month.
Rolling 30-Day PositionThe Order count for the 30 days ending on the most recent Sunday, reported for information only.
TierGold, Silver, Bronze or Building, as described in clause 3.

02Eligibility and participation

2.1

Participation is automatic for eligible accounts. There is no separate application or manually curated participant list.

2.2

An account is eligible for a Programme run where it is flagged as an affiliate account, approved, neither archived nor blocked, and holds a usable non-BNESIM contact email address.

2.3

White-label partners, distributors, API partners, resellers, agencies, their sub-affiliates, internal accounts, campaign accounts and ineligible accounts acquire no entitlement under these Terms.

2.4

An account that ceases to meet clause 2.2 leaves the Programme from the next run. Clause 6.6 governs any Coupon Code already issued.

2.5

Participation creates no partnership, joint venture, employment or agency relationship and does not vary the Affiliate Agreement except as clause 1.3 expressly provides.

03Reward Tiers

3.1

Tier is determined by Order volume alone. Revenue, margin and customer count do not determine Tier.

TierOrders in Qualifying MonthCoupon discountMaximum discount
Gold1,200 or more20%€10 equivalent per Order
Silver601 – 1,19915%€10 equivalent per Order
Bronze10 – 60010%€10 equivalent per Order
BuildingFewer than 10No Coupon Code—
3.2

The discount is capped at €10 on each Order and cannot exceed the amount payable for that Order. For non-euro checkout, BNESIM applies the euro equivalent using the conversion rate used by its checkout system at transaction time.

04Measurement periods

4.1

Coupon entitlement is determined solely by Orders in the Qualifying Month. For example, August Orders determine September entitlement.

4.2

The Rolling 30-Day Position covers the 30 days ending on the most recent Sunday. It is informational and creates no entitlement.

4.3

Where the periods produce different Tiers, the Qualifying Month controls.

05Earning, retaining and losing a Tier

5.1

Promotion applies from the first day of the month after the higher threshold is met.

5.2

The first consecutive Qualifying Month below the threshold for the Tier held is a Grace Month. The Tier remains unchanged.

5.3

After a second consecutive shortfall, the Tier changes on the first day of the following month to the Tier earned in that second month.

5.4

Recovery to or above the threshold during a Grace Month ends the Grace Month without demotion. A later shortfall starts a new Grace Month.

5.5

A Tier is not withdrawn part way through a month

A Tier held on the first day of a month continues through the last day of that month. Only clause 11.3 permits earlier withdrawal.

06Coupon Code lifecycle

6.1

Each Affiliate at Bronze Tier or above holds one current Coupon Code, subject to the temporary overlap in clause 6.5.

6.2

The final two digits of a Coupon Code state its discount percentage. For example, K7M3XP15 is a 15% code.

RuleOperation
FormatSix characters followed by the two-digit discount percentage.
CharactersLetters A–Z and digits 2–9, excluding O, I, L, 0 and 1.
UniquenessNo Coupon Code is issued twice, including after expiry.
Tier retainedThe same Coupon Code is renewed each month.
Grace MonthThe same Coupon Code continues.
Tier changesA new Coupon Code is issued for the new discount.
Superseded codeIt remains valid until the end of the month for which it was last renewed.
Returning AffiliateAn expired Coupon Code is not revived; a fresh code is issued.
Total usesNo fixed Programme limit. Genuine customer redemptions are encouraged.
6.3

A new Coupon Code is issued whenever Tier changes because the stated discount forms part of the code.

6.4

A superseded Coupon Code continues until its stated expiry. It is not cancelled early except under clause 11.3.

6.5

During a Tier change, the new and superseded codes may circulate concurrently. Both are honoured on their stated terms while valid.

6.6

An Affiliate leaving the Programme, or falling to Building Tier, receives no renewal. Its current code expires at month-end, subject to clause 11.3.

07Customer use and publication

7.1

You may publish your Coupon Code openly

A Coupon Code is a promotional discount for the Affiliate to share with its audience. Affiliates may publish and distribute it through any lawful channel, including websites, social media, messaging, public coupon platforms, forums and offline media.

7.2

There is no minimum spend and no fixed limit on genuine customer redemptions. Publication and promotion remain subject to applicable law and the Affiliate Agreement.

ConditionSetting
Discount20%, 15% or 10% by Tier, capped at €10 equivalent per Order.
Minimum spendNone.
Uses per CustomerOne successful Coupon Code redemption in total per customer account across the Programme.
Total uses per codeNo fixed Programme limit.
First purchase onlyNo. Existing customers may use a code, subject to Attribution.
ProductsData plans, including unlimited data plans.
Payment methodsWallet, credit card, Apple Pay and Google Pay.
ValidityFrom the first through the last day of the applicable month, inclusive.
7.3

A customer with no existing affiliate Attribution may redeem the code and becomes attributed to that Affiliate. A customer already attributed to that Affiliate may redeem it. A customer attributed to another affiliate cannot.

7.4

A declined redemption is not a defect

A declined redemption caused by an existing Attribution is the intended operation of the Programme and is not a defect.

7.5

A successful redemption attributes the customer to the Affiliate. The redemption Order and later Orders count for that Affiliate while the Attribution remains recorded under BNESIM’s systems and the Affiliate Agreement.

08What counts as an Order

TermMeaning
OrderA successfully paid eSIM purchase or paid top-up placed by an attributed Customer.
Not an OrderAn unpaid, pending, failed, cancelled, refunded, charged-back or reversed transaction.
RevenueAmounts paid in euro after refunds, reported for information only. Revenue does not determine Tier.
RefundDeducted from Revenue when processed. A later refund affects future calculations and does not withdraw a Tier during a month already begun, unless clause 11.3 applies.
CustomerA distinct attributed customer account that placed at least one Order in the period.
8.1

BNESIM system records govern Programme calculations, subject to correction of a manifest error notified by the Affiliate within 30 days after the relevant report.

09Weekly update

9.1

BNESIM sends an automated weekly email each Monday under its system schedule. It reports the week ended, Rolling 30-Day Position, current Tier and active Coupon Code, where applicable.

9.2

The email is informational. Figures may be restated for refunds, chargebacks, reversals or data corrections, and corrected figures govern future calculations.

9.3

Non-receipt of an email does not change Tier, Coupon Code or entitlement.

10Relationship to commission

10.1

The Coupon Code is the sole reward under the Programme. Reaching or holding a Tier creates no additional payment, rebate, revenue share or bonus.

10.2

The Programme does not replace, reduce or change commission under the Affiliate Agreement.

10.3

Orders generated through a Coupon Code remain commissionable in the ordinary way under the Affiliate Agreement. The Affiliate Agreement alone governs calculation, accrual, refund adjustments and payment.

10.4

Tier does not change the Affiliate’s commission rate.

10.5

A Coupon Code has no cash value and may not be sold, auctioned, assigned or transferred as an asset. This does not restrict its public distribution for customer use under clause 7.

11General

11.1

Amendment. BNESIM may vary these Terms, including Tier thresholds, discount percentages and the €10 cap, on reasonable email notice. Changes are prospective. A Coupon Code already issued remains honoured until expiry.

11.2

Closure. BNESIM may close the Programme on reasonable email notice. Coupon Codes issued before closure remain honoured until expiry.

11.3

Fraud and abuse. BNESIM may immediately suspend or withdraw a Coupon Code and remove an Affiliate where BNESIM reasonably determines that attributed transactions involve fraud, self-dealing, misrepresentation, artificial order creation, manipulation of Order counts or material reversals. High genuine customer use, broad publication and strong redemption volume are not abuse.

11.4

End of Affiliate relationship. If the Affiliate Agreement ends, the Coupon Code may remain valid until its stated expiry for customer discounts. No commission accrues after termination except where the Affiliate Agreement expressly provides otherwise. BNESIM may withdraw the code immediately where the Affiliate Agreement ends for fraud, abuse or other cause affecting the Programme.

11.5

Severance. An invalid or unenforceable provision is severed to the necessary extent, and the remaining provisions continue.

11.6

Entire Programme terms. These Terms contain the entire terms of the Programme and supersede prior Programme statements and illustrations. They do not supersede the Affiliate Agreement.

11.7

Notices. BNESIM may notify an Affiliate at its recorded contact email. Notices to BNESIM must be sent to partnership@bnesim.com with the subject line “Affiliate Rewards Notice”. Email notice is effective when delivered without an automated failure notice.

11.8

Data use. BNESIM processes affiliate account, Attribution and transaction data to administer the Programme in accordance with its applicable privacy notice.

11.9

Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce them.

11.10

Governing law and jurisdiction. These Terms and related contractual or non-contractual disputes are governed by Hong Kong law. The parties submit to the exclusive jurisdiction of the Hong Kong courts.
